These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Salasar eCommerce Total Solutions Private Limited (operating as "Arena Softwares", "KhataWise", "we", "us", "our"), governing your access to and use of the KhataWise cloud accounting software and related services (the "Service").
1. Acceptance of Terms
By creating an account, accessing, or using KhataWise, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must not access or use the Service.
2. Description of Service
KhataWise is a cloud-based accounting and business management software designed for Indian businesses. The Service includes, but is not limited to:
- Double-entry financial accounting and bookkeeping
- GST-compliant invoicing, credit notes, and debit notes
- GST return data preparation (GSTR-1, GSTR-2B reconciliation)
- TDS calculation and management
- Inventory and stock management
- Banking integration and bank reconciliation
- Financial reporting (Profit & Loss, Balance Sheet, Trial Balance, Ledgers)
- Multi-company and multi-user management
- Quotation and estimate generation
- Payment receipt and allocation tracking
We may add, modify, or discontinue features at our discretion, with reasonable notice for material changes.
3. Account Registration and Security
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Keep your login credentials confidential and secure
- Immediately notify us of any unauthorized access to your account
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Maintain only one account per individual (unless authorized for multi-user access)
You are solely responsible for all activity that occurs under your account. We are not liable for any loss arising from unauthorized use of your account.
4. Subscription Plans and Payments
4.1 Plans and Pricing
KhataWise offers multiple subscription tiers, including a free plan and paid plans. Current pricing is displayed on our Pricing page. Prices are subject to change with at least 30 days' prior notice. Price changes will not affect your current billing cycle.
4.2 Billing and Payment
Paid subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Payment is due at the time of subscription or renewal. We accept major credit/debit cards, UPI, net banking, and other payment methods available through our payment gateway.
4.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel auto-renewal at any time through your account settings.
4.4 Taxes
All prices displayed are exclusive of applicable taxes. GST at the prevailing rate (currently 18%) will be charged on all paid subscriptions as per Indian tax laws. Tax invoices will be provided for all payments.
4.5 Failed Payments
If a payment fails, we will attempt to process it again and notify you by email. If payment remains unsuccessful after 7 days, your account may be downgraded to the free plan. Your data will be preserved for at least 30 days.
5. User Responsibilities
You agree to use the Service responsibly and in compliance with all applicable laws. Specifically, you shall:
- Use the Service only for lawful business purposes
- Ensure the accuracy of all financial data you enter
- Not share, transfer, or sell your account credentials to unauthorized persons
- Not attempt to reverse-engineer, decompile, or gain unauthorized access to the Service
- Not use the Service to store or transmit malicious code, spam, or illegal content
- Not circumvent any usage limits, security features, or access controls
- Comply with all applicable Indian laws, including GST regulations, Income Tax Act, and Companies Act
- Maintain adequate records and backups of your data outside the Service
6. Data Ownership and Licence
Your Data: You retain full ownership of all data, content, and information you input into KhataWise ("Your Data"). We do not claim any ownership rights over Your Data.
Licence to Us: You grant us a limited, non-exclusive, worldwide licence to access, process, store, and display Your Data solely for the purpose of providing, maintaining, and improving the Service.
Data Export: You may export Your Data at any time in standard formats (CSV, Excel, PDF) through the features available in the Service.
7. Service Availability and Support
We target 99.9% uptime for the Service but do not guarantee uninterrupted or error-free availability. The Service may be temporarily unavailable due to:
- Scheduled maintenance (communicated in advance where possible)
- Emergency maintenance for security or critical fixes
- Circumstances beyond our reasonable control (force majeure)
Support is provided via email for all plans. Priority and phone support is available for higher-tier plans as described on the Pricing page.
8. Intellectual Property
The Service, including all software, source code, user interface designs, trademarks, logos (including the KhataWise logo), documentation, and other content, is the exclusive property of Salasar eCommerce Total Solutions Private Limited and is protected by Indian and international intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service without our prior written consent.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
- We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any loss of profits, revenue, data, or business opportunities
- We are not liable for tax penalties, fines, or assessments resulting from errors in data entry or GST calculations
- We are not liable for business decisions made based on reports generated by the Service
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Salasar eCommerce Total Solutions Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
11.1 Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation, your access continues until the end of the current billing period. You may export your data before the end of your subscription.
11.2 Termination by Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. We will provide reasonable notice before termination, except in cases of egregious violations.
11.3 Post-Termination
Upon termination:
- You may export your data within 30 days of termination
- After the 30-day export period, your data will be deleted from our active systems
- Backup copies may be retained for up to 90 days before permanent deletion
- We may retain certain data as required by applicable laws
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address and/or through a notice on the Service at least 15 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision
- Assignment: You may not assign your rights under these Terms without our prior written consent
